(3) Value of FY 2020 and FY 2021 PSUs based on the closing price of our common stock on January 29, 2021, multiplied by the number of shares that would become earned and vested under the award assuming a change in control occurred on January 31, 2021. Upon a change in control, the number of shares that will become earned under the FY 20/21 PSUs is determined based on the relative TSR as of the date of the change in control (assumed to be January 31, 2021 for purposes of the table). Our relative TSR as of January 31, 2021 would result in the FY 20/21 PSUs being earned at 200%. Any shares so earned upon a change in control become subject to time-based vesting (and subject to acceleration upon a qualifying termination in connection with a change in control or non-assumption of awards in a change in control). Upon a qualifying termination outside of a change in control, the NEO will be eligible to receive a pro rata portion of the shares ultimately earned under the PSU following the expiration of the performance period, based on service through the date of termination.
